Terms of Service

1. Acceptance of Terms

By accessing or using LYFYE's services, website, or consulting offerings (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Services Description

LYFYE provides enterprise security consulting, AI security assessments, compliance guidance, and related professional services. Our services include but are not limited to:

• Security assessments and audits
• AI risk management and governance
• NIST framework implementation (AI RMF, 800-53, etc.)
• FedRAMP authorization support
• Zero Trust architecture design
• Threat modeling and secure agentic system design

3. Service Delivery Model

LYFYE operates a pod-based delivery model with access to a network of 1,000+ vetted specialists. These specialists are independent contractors and partner firms, not LYFYE employees. LYFYE assembles specialist pods (3-5 experts) per engagement to ensure domain expertise and capacity. All engagements include defined deliverables, evidence packs, and accountability through LYFYE.

4. Engagement Terms

Specific terms of engagement, including scope, deliverables, timelines, and fees, will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA). These Terms govern the general relationship; the SOW/MSA governs specific project details.

5. Confidentiality

LYFYE agrees to maintain the confidentiality of all client information, data, and materials disclosed during the engagement. Client information will not be shared with third parties except as required for service delivery (e.g., specialist pod members under NDA) or as required by law. LYFYE implements industry-standard security controls to protect client data.

6. Intellectual Property

Unless otherwise specified in a SOW:

• Client Data: Remains the property of the client
• Deliverables: Ownership transfers to client upon full payment
• LYFYE Tools/Methodologies: Remain LYFYE property but client receives license to use within their organization
• Pre-existing IP: Each party retains ownership of their pre-existing intellectual property

7. Limitation of Liability

LYFYE provides professional consulting services to the best of its ability. However, LYFYE cannot guarantee specific outcomes (e.g., FedRAMP authorization approval, zero security incidents). LYFYE's total liability for any claim arising from services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.

8. Warranty Disclaimer

LYFYE provides services on an "as is" basis. While we strive for excellence, we make no warranties, express or implied, regarding the completeness, accuracy, or reliability of deliverables. Clients are responsible for implementing recommendations and validating suitability for their environment.

9. Termination

Either party may terminate an engagement as specified in the SOW. Upon termination, client shall pay for all work completed through the termination date. LYFYE will deliver all completed work product and return client materials.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Austin, Texas.

11. Changes to Terms

LYFYE reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Services after changes constitutes acceptance of the modified Terms.
